1. Company Information
These Terms and Conditions govern your use of services provided by INEXT VENTURES PRIVATE LIMITED (CIN: U68100MP2024PTC069974), a company incorporated under the Companies Act, 2013, with its registered office at 154 Gole Bazar, Near Rao Hospital, Jabalpur City, Jabalpur – 482002, Madhya Pradesh, India. By engaging our services, you agree to these terms in full.
2. Services Provided
INEXT Ventures provides digital marketing services including but not limited to:
- Google Ads campaign management (Search and Demand Gen)
- YouTube advertising campaign management
- Website design and development (web solutions)
- Digital monetization consulting and implementation
The specific scope of services for each client is defined in a separate Service Agreement or Statement of Work (SOW) provided prior to commencement of work.
3. Client Obligations
Clients are responsible for providing accurate business information, timely access to required accounts (Google Ads, Analytics, website), and prompt feedback on deliverables. Clients must ensure they hold necessary rights to all creative materials provided to INEXT Ventures for use in campaigns. Clients must not use our services for unlawful purposes or to promote prohibited content under Google's advertising policies.
4. Payments and Fees
Service fees are agreed upon in writing prior to commencement. Management fees are separate from advertising spend paid directly to Google/YouTube. Invoices are issued monthly or as specified in the Service Agreement. Payment is due within 15 days of invoice date unless otherwise agreed. Late payments may result in service suspension. All fees are exclusive of applicable taxes including GST.
5. Intellectual Property
All strategies, frameworks, and proprietary methodologies developed by INEXT Ventures remain the intellectual property of the company. Ad copy, creative assets, and website code developed specifically for a client become the client's property upon full payment of all outstanding fees. INEXT Ventures retains the right to reference client work in its portfolio unless the client expressly requests confidentiality in writing.
6. Performance and Results
While INEXT Ventures commits to best-practice campaign management and continuous optimisation, we cannot guarantee specific advertising results including click-through rates, conversion rates, or return on ad spend. Digital advertising performance is influenced by market conditions, competition, seasonality, and factors outside our control. We commit to transparent reporting and proactive communication about campaign performance.
7. Confidentiality
Both parties agree to keep confidential any proprietary business information shared during the engagement. This obligation survives termination of the service relationship for a period of two years.
8. Termination
Either party may terminate services with 30 days' written notice. INEXT Ventures may terminate immediately for non-payment, breach of these terms, or requests to engage in activities violating applicable laws or platform policies. Upon termination, all outstanding fees become immediately payable.
9. Limitation of Liability
INEXT Ventures' total liability to any client for any claim arising from our services shall not exceed the total fees paid by that client in the three months preceding the claim. We are not liable for indirect, consequential, or punitive damages including loss of profit, loss of data, or business interruption.
10. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Jabalpur, Madhya Pradesh, India.
11. Amendments
INEXT Ventures reserves the right to update these Terms at any time. Continued use of our services following notification of changes constitutes acceptance of the updated Terms. We will notify existing clients of material changes via email.
